{"id":14530,"date":"2020-04-25T09:08:08","date_gmt":"2020-04-25T06:08:08","guid":{"rendered":"https:\/\/www.jmihai.ro\/blog\/?p=14530"},"modified":"2020-04-25T09:08:11","modified_gmt":"2020-04-25T06:08:11","slug":"masuri-de-sprijinire-a-persoanelor-fizice-autorizate-in-contextul-starii-de-urgenta","status":"publish","type":"post","link":"https:\/\/www.jmihai.ro\/blog\/masuri-de-sprijinire-a-persoanelor-fizice-autorizate-in-contextul-starii-de-urgenta\/","title":{"rendered":"M\u0103suri de sprijinire a Persoanelor Fizice Autorizate \u00een contextul st\u0103rii de urgen\u021b\u0103"},"content":{"rendered":"\n<p><em>Articol scris de\u00a0<strong>Alina S<\/strong>., Managing Partner la\u00a0<a rel=\"noreferrer noopener\" href=\"https:\/\/www.adviceaccounting.ro\/\" target=\"_blank\">Advice Accounting<\/a><\/em>\u00a0\u2013 una dintre cele mai experimentate companii de Accounting &amp; Legal din Romania.<\/p>\n\n\n\n<hr class=\"wp-block-separator\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>NO\u021aIUNE<\/strong><\/h2>\n\n\n\n<p>La modul general, conform Legii 346\/2004 privind stimularea \u00eenfiin\u021b\u0103rii \u0219i dezvolt\u0103rii \u00eentreprinderilor mici \u0219i mijlocii, categoria \u00centreprinderilor Micro, Mici \u015fi Mijlocii (IMM) este format\u0103 din \u00eentreprinderi care angajeaz\u0103 mai pu\u0163in de 250 de persoane, au o cifr\u0103 de afaceri anual\u0103 net\u0103 de p\u00e2n\u0103 la 50 de milioane de euro \u015fi\/ sau de\u0163in active totale de p\u00e2n\u0103 la 43 de milioane de EUR<strong><em>.<\/em><\/strong><\/p>\n\n\n\n<p><strong>Micro\u00eentreprinderile<\/strong> sunt definite ca fiind \u00eentreprinderi care au <strong>sub 10 angaja\u021bi<\/strong> \u0219i a c\u0103ror cifr\u0103 de afaceri anual\u0103 sau al c\u0103ror bilan\u021b anual total nu dep\u0103\u0219e\u0219te 2 milioane EUR.<\/p>\n\n\n\n<p><strong>\u00centreprinderile mici<\/strong> sunt definite ca fiind \u00eentreprinderi care au <strong>sub 50 de angaja\u021bi<\/strong> \u0219i a c\u0103ror cifr\u0103 de afaceri anual\u0103 sau al c\u0103ror bilan\u021b anual total nu dep\u0103\u0219e\u0219te 10 milioane EUR.<\/p>\n\n\n\n<p><strong>\u00centreprinderile mijlocii<\/strong> sunt definite ca fiind \u00eentreprinderi care au <strong>sub 250 de angaja\u021bi<\/strong> \u0219i a c\u0103ror cifr\u0103 de afaceri anual\u0103 nu dep\u0103\u0219e\u0219te 50 de milioane EUR sau al c\u0103ror bilan\u021b anual total nu dep\u0103\u0219e\u0219te 43 de milioane EUR.<\/p>\n\n\n\n<p>Categoria \u00centreprinderilor Micro, Mici \u015fi Mijlocii (IMM) reprezint\u0103 genul, iar persoana fizic\u0103 autorizat\u0103 care apar\u021bine micro\u00eentreprinderilor reprezint\u0103 specia.<\/p>\n\n\n\n<p>Potrivit art. 2 lit. i) din Ordonan\u021ba de Urgen\u021b\u0103 a Guvernului nr. 44\/2008, persoana fizic\u0103 autorizat\u0103 este definit\u0103 ca <strong>\u00eentreprinderea economic\u0103, f\u0103r\u0103 personalitate juridic\u0103, organizat\u0103 de o persoan\u0103 fizic\u0103 ce folose\u0219te, \u00een principal, for\u021ba sa de munc\u0103 \u0219i aptitudinile sale profesionale.\u00a0<\/strong><\/p>\n\n\n\n<p>O persoan\u0103 fizic\u0103 autorizat\u0103 poate cumula aceast\u0103 calitate cu cea de salariat al unei ter\u021be persoane care func\u021bioneaz\u0103 at\u00e2t \u00een acela\u0219i domeniu, c\u00e2t \u0219i \u00eentr-un alt domeniu de activitate economic\u0103 dec\u00e2t cel pentru care cea dint\u00e2i este autorizat\u0103.<\/p>\n\n\n\n<p>Legea permite persoanei fizice autorizate un <strong>maxim de 5 clase din codul CAEN<\/strong> ca si obiect de activitate \u0219i un <strong>num\u0103r maxim de 3<\/strong> persoane av\u00e2nd calitatea de <strong>salaria\u021bi<\/strong>. Pe l\u00e2ng\u0103 ace\u0219tia, persoana fizic\u0103 autorizat\u0103 poate stabili rela\u021bii contractuale cu orice persoane fizice \u0219i juridice, cu alte PFA, \u00eentreprinderi individuale sau \u00eentreprinderi familiale, \u00een scopul exercit\u0103rii activit\u0103\u021bilor pentru care a fost autorizat\u0103.<br><\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>M\u0102SURI DE SPRIJINIRE A PERSOANELOR FIZICE AUTORIZATE<\/strong><\/h3>\n\n\n\n<p>Prin Ordonan\u021ba de urgen\u021b\u0103 a Guvernului nr. 110\/2017 s-a reglementat un program de sus\u021binere a \u00eentreprinderilor mici \u0219i mijlocii, care are ca obiectiv acordarea de facilit\u0103\u021bi de garantare de c\u0103tre stat pentru creditele acordate \u00eentreprinderilor mici \u0219i mijlocii de c\u0103tre institu\u021biile de credit.\u00a0<\/p>\n\n\n\n<p>Beneficiarii acestui program sunt societ\u0103\u021bile comerciale, persoanele fizice autorizate, \u00eentreprinderile individuale, \u00eentreprinderile familiale, coopera\u021biile, micro\u00eentreprinderile \u00eenfiin\u021bate de c\u0103tre \u00eentreprinz\u0103tori debutan\u021bi \u0219i care \u00eendeplinesc condi\u021biile de \u00eencadrare \u00een categoria \u00eentreprinderilor mici \u0219i mijlocii.<\/p>\n\n\n\n<hr class=\"wp-block-separator\"\/>\n\n\n\n<p>Conform modific\u0103rilor aduse de Ordonan\u021ba de urgen\u021b\u0103 nr. 29\/2020 privind unele m\u0103suri economice \u0219i fiscal-bugetare \u0219i de Ordonan\u021ba de urgen\u021b\u0103 nr. 42\/2020 privind modificarea \u0219i completarea programului de sus\u021binere a IMM, pot beneficia de program titularii urm\u0103toarelor tipuri de credite:<\/p>\n\n\n\n<p><strong>1.<\/strong> Unul sau <strong>mai multe<\/strong> credite pentru realizarea de investi\u021bii \u0219i\/sau <strong>unul sau mai multe credite\/linii de credit pentru capital de lucru<\/strong>, garantate de c\u0103tre stat, prin Ministerul Finan\u021belor Publice, \u00een procent de <strong>maximum 80%<\/strong> din valoarea finan\u021b\u0103rii, exclusiv dob\u00e2nzile, comisioanele \u0219i spezele bancare aferente creditului garantat \u2013 valoarea maxim\u0103 cumulat\u0103 a celor dou\u0103 tipuri de credite \u0219i care poate fi garantat\u0103 de stat este de 10.000.000 lei, valoarea maxim\u0103 pentru finan\u021barea creditelor de investi\u021bii este de 10.000.000 lei, iar cea pentru finan\u021barea creditelor pentru capital de lucru este de 5.000.000 lei, \u00een limita uneia dintre urm\u0103toarele condi\u021bii valabile pentru ambele finan\u021b\u0103ri, care reprezint\u0103 valoarea cea mai mare dintre:<\/p>\n\n\n\n<p>&#8211; dublul sumei reprezent\u00e2nd cheltuielile salariale, inclusiv contribu\u021biile sociale obligatorii datorate de angajator aferente veniturilor din salarii \u0219i asimilate salariilor, \u00eenregistrate la nivelul anului 2019. \u00cen cazul \u00eentreprinderilor \u00eenfiin\u021bate dup\u0103 1 ianuarie 2019, cuantumul maxim al \u00eemprumutului nu poate dep\u0103\u0219i suma estimat\u0103 pentru primii 2 ani de activitate;sau<\/p>\n\n\n\n<p>&#8211; 25% din cifra de afaceri net\u0103 a beneficiarului pe 2019, respectiv venitul brut sau norma anual\u0103 de venit \u00een cazul persoanelor fizice care ob\u021bin venituri din activit\u0103\u021bi independente, dup\u0103 caz, conform Declara\u021biei unice privind impozitul pe venit \u0219i contribu\u021biile sociale datorate de persoanele fizice depuse la organele fiscale competente pentru anul 2019;sau<\/p>\n\n\n\n<p>&#8211; o valoare care s\u0103 rezulte din nevoile sale de lichidit\u0103\u021bi, acestea pot include at\u00e2t costuri cu capital de lucru, c\u00e2t \u0219i costurile cu investi\u021bii, cu condi\u021bia prezent\u0103rii unor documente justificative de c\u0103tre beneficiar, situa\u021bie \u00een care cuantumul \u00eemprumutului nu poate dep\u0103\u0219i nevoile de lichidit\u0103\u021bi de la momentul acord\u0103rii pentru urm\u0103toarele 18 luni.<\/p>\n\n\n\n<p><strong>2.<\/strong>Una sau mai multe garan\u021bii pentru credite\/linii de credit pentru finan\u021barea capitalului de lucru, exclusiv dob\u00e2nzile, comisioanele \u0219i speze bancare aferente creditului garantat de stat \u00een procent de <strong>maximum 90% <\/strong>acordat unei micro\u00eentreprinderi sau \u00eentreprindere mic\u0103, \u00een valoare maxim\u0103 de 500.000 lei pentru micro\u00eentreprinderi, respectiv maximum 1.000.000 lei pentru \u00eentreprinderile mici, \u00een limita uneia dintre urm\u0103toarele condi\u021bii valabile pentru ambele finan\u021b\u0103ri, care reprezint\u0103 valoarea cea mai mare dintre:&nbsp;<\/p>\n\n\n\n<p>&#8211; o valoare care s\u0103 rezulte din nevoile sale de lichidit\u0103\u021bi, acestea pot include at\u00e2t costuri cu capital de lucru, c\u00e2t \u0219i costurile cu investi\u021bii, cu condi\u021bia prezent\u0103rii unor documente justificative de c\u0103tre beneficiar, situa\u021bie \u00een care cuantumul \u00eemprumutului nu poate dep\u0103\u0219i nevoile de lichidit\u0103\u021bi de la momentul acord\u0103rii pentru urm\u0103toarele 18 luni.<\/p>\n\n\n\n<p>Prin completarea adus\u0103 de O.U.G. nr. 42\/2020, doar dob\u00e2nzile aferente creditelor\/liniilor de credit pentru capitalul de lucru \u0219i a creditelor pentru investi\u021bii de la punctul de 2 de mai sus sunt subven\u021bionate de c\u0103tre Ministerul Finan\u021belor Publice \u00een procent de <strong>100%<\/strong>.<\/p>\n\n\n\n<p>Pot beneficia de acest program \u00eentreprinderile care \u00eendeplinesc urm\u0103toarele condi\u021bii cumulative:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li><strong>nu se afl\u0103 \u00een dificultate financiar\u0103<\/strong> (de pild\u0103, IMM-ul nu se afl\u0103 \u00een procedur\u0103 de insolven\u021b\u0103, procedur\u0103 de executare silit\u0103 declan\u0219at\u0103 de organele fiscale \u0219i\/sau al\u021bi creditori, \u00eenchidere opera\u021bional\u0103, dizolvare, lichidare, administrare special\u0103 sau concordat \u0219i nu \u00eendepline\u0219te criteriile din legisla\u021bia na\u021bional\u0103 pentru a fi supus unei proceduri de insolven\u021b\u0103 la cererea creditorilor, conform declara\u021biei pe propria r\u0103spundere, completat\u0103 \u0219i semnat\u0103 de beneficiarul finan\u021b\u0103rii);<\/li><li><strong>nu se afl\u0103 \u00een litigiu<\/strong>, \u00een calitate de p\u00e2r\u00e2t, cu Ministerul Finan\u021belor Publice \u0219i\/sau institu\u021bia de credit partener\u0103;<\/li><li><strong>nu figureaz\u0103 cu credite restante<\/strong>, inclusiv pentru finan\u021b\u0103rile tip leasing, \u00een ultimele 6 luni anterioare datei de 31 decembrie 2019;&nbsp;<\/li><li><strong>nu se afl\u0103 \u00een interdic\u021bie de a emite cecuri<\/strong> la data de 31 decembrie 2019 \u0219i nu figureaz\u0103 \u00een baza de date a Centralei Incidentelor de Pl\u0103\u021bi, cu incidente majore cu bilete la ordin \u00een ultimele 6 luni anterioare datei de 31 decembrie 2019;<\/li><li><strong>nu s-a deschis procedura insolven\u021bei <\/strong>\u00eempotriva lor;<\/li><li><strong>prezint\u0103 <\/strong><strong>institu\u021biei de credit garan\u021bii colaterale, <\/strong>care, \u00een cazul creditelor de investi\u021bii, \u00eempreun\u0103 cu garan\u021bia de stat \u0219i ipoteca legal\u0103 imobiliar\u0103 \u0219i\/sau mobiliar\u0103 asupra activelor finan\u021bate din credit, acoper\u0103 \u00een propor\u021bie de cel pu\u021bin 100% valoarea finan\u021b\u0103rii. Pentru creditele\/liniile de credit pentru finan\u021barea capitalului de lucru pot fi incluse \u00een structura de garan\u021bii aferente creditului ipoteca legal\u0103 mobiliar\u0103 asupra soldurilor creditoare ale tuturor conturilor deschise de beneficiar la institu\u021bia de credit, \u00eempreun\u0103 cu garan\u021bia de stat;<\/li><li><strong>sunt eligibile<\/strong> conform reglement\u0103rilor interne ale institu\u021biei de credit;<\/li><li><strong>nu \u00eenregistreaz\u0103 obliga\u021bii fiscale restante<\/strong> \u0219i alte crean\u021be bugetare administrate de organul fiscal central, iar \u00een caz contrar, beneficiarul se oblig\u0103 s\u0103 achite obliga\u021biile restante din creditul\/linia de credit pentru capitalul de lucru acordat\/\u0103 \u00een cadrul programului;<\/li><li>depun un <strong>document scris<\/strong> prin care se angajeaz\u0103 s\u0103 nu disponibilizeze personalul existent de la data intr\u0103rii \u00een vigoare a prezentei ordonan\u021be de urgen\u021b\u0103 p\u00e2n\u0103 la 31 decembrie 2020; \u00eentreprinderea poate organiza programul de lucru al salaria\u021bilor \u00een func\u021bie de evolu\u021bia activit\u0103\u021bii curente a acesteia.<\/li><\/ul>\n\n\n\n<p>Conform O.U.G. nr. 42\/2020, <strong>nu sunt eligibile<\/strong> pentru acordarea de garan\u021bii \u00een cadrul programului \u00eentreprinderile mici \u0219i mijlocii din sectoarele\/ domeniile: activit\u0103\u021bi de jocuri de noroc \u0219i pariuri, produc\u021bie sau comercializare de armament, muni\u021bii, explozibili, tutun, alcool, substan\u021be aflate sub control na\u021bional, plante, substan\u021be \u0219i preparate stupefiante \u0219i psihotrope, activit\u0103\u021bi de investigare \u0219i protec\u021bie.<\/p>\n\n\n\n<p>\u00cen concordan\u021b\u0103 cu art. 6 alin. (2) din O.U.G. nr. 110\/2017 actulizat\u0103, durata maxim\u0103 a finan\u021b\u0103rilor este de <strong>72 de luni <\/strong>\u00een cazul creditelor pentru investi\u021bii \u0219i de <strong>36 de luni<\/strong> \u00een cazul creditelor\/liniilor de credit pentru capital de lucru, cu posibilitatea de <strong>prelungire<\/strong> a celor din urm\u0103 pentru <strong>maximum 36 de luni<\/strong>.<\/p>\n\n\n\n<p>Tot ca mijloc de protec\u021bie a persoanei fizice autorizate, \u00een calitate de contribuabil, art. VII din O.U.G. nr. 29\/2020 prevede c\u0103, de la data intr\u0103rii \u00een vigoare a ordonan\u021bei, <strong>nu se calculeaz\u0103 \u0219i datoreaz\u0103 dob\u00e2nzi \u0219i penalit\u0103\u021bi de \u00eent\u00e2rziere <\/strong>pentru obliga\u021biile fiscale scadente<strong>. <\/strong>Aceast\u0103 m\u0103sur\u0103<strong> <\/strong>\u00eenceteaz\u0103 la 30 de zile de la \u00eencetarea st\u0103rii de urgen\u021b\u0103.<\/p>\n\n\n\n<p>Pe durata st\u0103rii de urgen\u021b\u0103, \u00eentreprinderile mici \u0219i mijlocii, care \u0219i-au \u00eentrerupt activitatea total sau par\u021bial \u00een baza deciziilor emise de autorit\u0103\u021bile publice competente \u0219i care de\u021bin certificatul de urgen\u021b\u0103 emis de Ministerul Economiei, Energiei \u0219i Mediului de Afaceri, beneficiaz\u0103 de <strong>am\u00e2narea la plat\u0103 pentru serviciile de utilit\u0103\u021bi<\/strong> \u2013 electricitate, gaze naturale, ap\u0103, servicii telefonice \u0219i de internet, precum \u0219i de am\u00e2narea la plat\u0103 a chiriei pentru imobilul cu destina\u021bie de sediu social \u0219i de sedii secundare.<\/p>\n\n\n\n<p>Pentru alte contracte \u00een derulare ale \u00eentreprinderilor mici \u0219i mijlocii, poate fi invocat\u0103 for\u021ba major\u0103 numai dup\u0103 \u00eencercarea prealabil\u0103 \u0219i dovedit\u0103 de renegociere a clauzelor contractuale. Afectarea activit\u0103\u021bii \u00eentreprinderilor mici \u0219i mijlocii se dovede\u0219te cu certificatul de situa\u021bie de urgen\u021b\u0103.<\/p>\n\n\n\n<p>Se prezum\u0103 relativ caz de for\u021b\u0103 major\u0103 \u00eemprejurarea imprevizibil\u0103, absolut invincibil\u0103 \u0219i inevitabil\u0103, care rezult\u0103 dintr-o ac\u021biune a autorit\u0103\u021bilor \u00een aplicarea m\u0103surilor impuse de prevenirea infec\u021biei cu virusul COVID-19.
